Mission & Purpose of Siuslaw Vision

 Building a better Siuslaw community together

To create a better Siuslaw region by implementing a community-developed vision. Siuslaw Vision convenes, catalyzes, and connects individuals and organizations engaged in initiatives to implement locally-owned solutions that address community-identified goals in the Siuslaw region.

Location

Siuslaw Vision Board members live or work in the Siuslaw Region, sometimes known as Western Lane County. This area encompasses Dunes City, Florence, Mapleton, Swisshome and Deadwood, the combined Mapleton and Siuslaw School District boundaries.

Objective

The Board of Directors of Siuslaw Vision is a volunteer group of individuals who work together, with the Vision Team committee, to oversee implementation of the regional, community-led Vision. Generally, the responsibilities of the Board include: setting policies for the operation of the organization; approving the organization’s operating budget and overseeing its implementation; hiring/discharging and supervising the organization’s employees; and serving as an advocate and ambassador for Siuslaw Vision to internal and external stakeholders. Siuslaw Vision Board Members prioritize the voice of the Vision Team and of the wider Siuslaw community when conducting the business of the organization. 

Expectations of Board Members include: 

  • Be prepared for and attend meetings (approximately quarterly; more frequently when needed).*
  • Review and adopt policies and procedures, with a focus on equity and profound inclusivity.
  • Supervise organization employees. 
  • Oversee the organization’s financial affairs.
  • Complete annual organization planning and evaluation.
  • Steward the mission and charitable operation of the organization.
  • Adhere to the organization’s governing documents, as well as federal and state laws.
  • Guide the work of the Vision Team to secure organization funding.
  • Participate in annual nonprofit board training.

*A remote meeting option is available.

Length of Appointment

Except for initial adjustments needed to create staggered terms, the term of office for Directors is two years. A Director may be reelected to serve a total of three consecutive terms. More details are available in the Siuslaw Vision Bylaws. 

Time Commitment

A minimum of two hours per month for meetings, correspondence, and preparation. The Siuslaw Vision Board of Directors meets at least quarterly and communicates via email in between meetings. Meeting preparation includes reading through the agenda packet and being prepared for discussion and decision-making. Work in between meetings may include research, writing policies, advising staff, etc.

Qualifications

Required criteria for election of Board Members includes: 

Being knowledgeable about the Siuslaw region, being committed to community building principles and the mission of Siuslaw Vision, live and/or work in Siuslaw, basic knowledge of computers, basic knowledge of the governance of nonprofits or a strong desire to learn.

Support

Siuslaw Vision has paid staff members who offer technical and administrative support, as well as a volunteer Vision Team that implements the work of Siuslaw Vision. Board training opportunities are available.

Siuslaw Vision Board Officer Position Descriptions 

The officers of Siuslaw Vision shall be the President, Secretary, and Treasurer. All officers must be members of the Board of Directors.

Duties of the Board President

Reports to: Board Directors

The President shall be the chief officer of the corporation and shall act as the Chair of the Board. The President shall have any other powers and duties as may be prescribed by the Board of Directors. Duties of the President include:

  • leads the Board in carrying out its governance functions;
  • is signatory on legal documents, as required;
  • presides at Board meetings;
  • ensures the Board has approved policies to enable sound and compliant governance and management of the organization;
  • coordinates with the Board the establishment or dissolution of all committees, and the appointment of committee members as recommended by the Vision Team;
  • is a spokesperson for the organization;
  • oversees efforts to build and maintain a strong Board;
  • performs other duties as described in the Bylaws.

Duties of the Board Secretary

Reports to: Board Directors

The Secretary shall have overall responsibility for recordkeeping, including official recording of the minutes of Board of Directors meetings, authentication of the records of the corporation, and any other duties as may be prescribed by the Board of Directors. While duties associated with Siuslaw Vision’s records (e.g. taking and preparing minutes) may be delegated to staff, committee members, or a contractor, the Board Secretary has final responsibility for reviewing and certifying the corporation’s records. Duties of the Secretary include:

  • maintains and manages records of the Board and the corporation to meet legal requirements;
  • ensures completion and distribution of Board meeting minutes;
  • ensures completion of annual corporation filings;
  • as necessary, sends Board meeting notices and packets;
  • is the custodian of corporation documents, ensuring required storage, access, and retention;
  • serves as the repository for board correspondence, contracts and other related materials;
  • is signatory on legal documents, as required;
  • upon vacating the office, surrender all records to the incoming Secretary;
  • performs other duties as described in the Bylaws.

Duties of the Board Treasurer

Reports to: Board Directors

The Treasurer shall have the overall responsibility for all corporate funds, including financial accounting and reporting, and any other duties as may be prescribed by the Board of Directors. While duties associated with Siuslaw Vision’s finances (e.g. developing a recommended budget) may be delegated to staff, committee members, or a contractor, the Board Treasurer has final responsibility for reviewing and certifying the corporation’s financial records and receipts. Duties of the Treasurer include:

  • manages and reports on the organization’s finances;
  • accountable for revenues received and expenses paid by the organization; reviews bank statements and reconciliations and ensures proper oversight of bank accounts is in place;
  • administers preparation of accurate quarterly financial reports to the Board, providing interpretation as needed;
  • ensures preparation of an annual financial report;
  • ensures preparation of an annual budget for the Board’s approval by the Vision Team; monitors the budget;
  • oversees development and implementation of financial policies and procedures;
  • interface with auditors for financial reviews, as directed by the board;
  • ensure completion of required tax reporting;
  • performs other duties as described in the Bylaws.
